Please read these Terms and Conditions ("Terms") carefully before using the refer.me website and Services operated by Crucible Fund LLC ("Refer Me," "we," "us," or "our"). Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms.

By accessing or using the Services you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you and Refer Me governing your access to and use of refer.me and our referral matching, AI Apply, resume tailoring, and interview preparation Services. By creating an account or using the Services, you represent that you are at least 16 years old and have the legal capacity to enter into this agreement.

2. Description of Services

Refer Me operates a marketplace connecting job seekers ("Candidates") with employees at companies ("Referrers") who are willing to refer qualified candidates for open roles. We also offer AI-powered tools including automated job applications, resume tailoring, and mock interview practice.

Refer Me is not an employer, staffing agency, or recruiter, and we do not guarantee that any referral will result in an interview, offer, or job placement.

3. Accounts and Registration

To use most features of the Services, you must register for an account and provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activity that occurs under your account.

4. User Content

You retain ownership of any resumes, cover letters, profile information, and other content you upload or submit ("User Content"). By submitting User Content, you grant Refer Me a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and display that content solely to operate and improve the Services, including sharing it with Referrers and prospective employers at your direction.

5. Acceptable Use

You agree not to misrepresent your identity or qualifications, submit false or misleading information, harass or spam Referrers, scrape or bulk-download platform data, or use the Services for any unlawful purpose.

6. Fees and Payment

Certain features of the Services, including Premium subscriptions, are offered for a fee as described on our Pricing page. All fees are billed in advance on a recurring basis and are non-refundable except as required by law or expressly stated at the time of purchase.

Subscriptions renew automatically until cancelled.
You may cancel at any time; cancellation takes effect at the end of the current billing period.
Prices are subject to change with notice posted on the Website.

7. Cancellation

You may cancel your Premium subscription at any time from your account settings. Upon cancellation, you will retain access to Premium features through the end of your then-current billing cycle.

8. Referral Marketplace Rules

Referrers participate voluntarily and are not compensated by Refer Me for providing referrals unless a specific bonus program applies. Candidates may not offer Referrers payment or other consideration in exchange for a referral outside of features expressly provided by the platform.

Referral requests must relate to a genuine, active interest in the role.
Referrers may decline any request at their discretion.
Abuse of the referral system may result in suspension of your account.

9. AI-Generated Content

Our AI Apply, resume tailoring, and interview practice tools generate suggestions and draft content using artificial intelligence. You are responsible for reviewing all AI-generated content for accuracy before submitting it to an employer. Refer Me does not guarantee the accuracy, completeness, or suitability of AI-generated output.

10. Intellectual Property

The Services and all content we provide, including our logo, design, text, and software, are owned by Refer Me or our licensors and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

11. Third-Party Links and Content

The Services may contain links to third-party websites or job postings that are not owned or controlled by Refer Me. We are not responsible for the content, accuracy, or practices of any third-party site.

12. U.S. Government Rights

If you are a U.S. government end user, the Services are a "commercial item" as defined in applicable federal acquisition regulations, and any use, duplication, or disclosure by the U.S. government is governed solely by these Terms.

13. Risk Management

You acknowledge that participation in employment-related activities carries inherent risk, and Refer Me is not responsible for the conduct, statements, or actions of any Referrer, Candidate, or employer encountered through the Services.

14. Privacy Policy

Your use of the Services is also governed by our Privacy Notice, which describes how we collect, use, and protect your personal information. Please review it carefully.

15. Copyright Infringements

If you believe that any content on the Services infringes your copyright, please send a written notice to legal@refer.me including the information required under applicable copyright law.

16. Term and Termination

We may suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease.

17. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time for any reason, and to suspend access to the Services for maintenance or updates. We will not be liable for any modification, suspension, or discontinuation of the Services.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

19. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will first be addressed through informal negotiation. If unresolved within 30 days, the dispute will be settled by binding arbitration on an individual basis, and you waive any right to participate in a class action.

20. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

21. Limitation of Liability

IN NO EVENT WILL REFER ME OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22. Indemnification

You agree to defend, indemnify, and hold harmless Refer Me and its officers, employees, and agents from any claim or demand arising out of your use of the Services or your violation of these Terms.

23. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and will not affect the validity of the remaining provisions.

24. Electronic Communications, Transactions & Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic signatures satisfy any legal requirement that such communications be in writing.

25. California Users and Residents

If a complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

26. Miscellaneous

These Terms and any policies posted by us constitute the entire agreement between you and Refer Me. Our failure to enforce any right or provision will not be considered a waiver of such right or provision.
